Model B Terms & Conditions
These Model B Terms & Conditions (the “Terms”) govern the one-time website design, development, launch, and ownership-transfer service provided by Wilbanks Web Design (“Wilbanks,” “Developer,” “we,” “us,” or “our”) to the person or business accepting these Terms (“Client,” “you,” or “your”). By checking the Model B acceptance boxes and continuing to Stripe Checkout, you electronically accept these Terms and enter into a binding agreement with Wilbanks.
1. Services and scope
Wilbanks will design and develop the website reflected in the approved website preview and the Model B service description presented during checkout (the “Website”). Those materials define the included scope. Any page, feature, integration, redesign, service, or other work not included in that approved scope is outside Model B unless Wilbanks agrees to it in writing.
Wilbanks determines the means, methods, tools, software, frameworks, templates, build systems, and temporary hosting arrangements used to perform the work. Project schedules are estimates and may be affected by delays in receiving Client Content, approvals, or third-party services.
2. One-time fee and payment
Model B costs $999 one time. Stripe handles the payment transaction. Wilbanks has no obligation to complete the production launch, deliver website files, migrate hosting, or complete the transfer appointment until the $999 fee has been received in full in cleared funds.
Except where a refund is required by applicable law or Wilbanks agrees otherwise in writing, the one-time fee is non-refundable after the Website has been approved and payment has been submitted.
3. Client Content and client warranties
“Client Content” includes text, images, photographs, logos, trademarks, video, audio, testimonials, reviews, pricing, service descriptions, credentials, license numbers, certifications, and other materials you supply or direct Wilbanks to use. You retain ownership of Client Content.
You represent that you own or have permission to use the Client Content; that it does not infringe another person’s intellectual-property, privacy, publicity, or other rights; and that your business claims, pricing, credentials, licenses, certifications, guarantees, and testimonials are truthful, accurate, substantiated, and lawful.
4. Client responsibility for compliance
As between you and Wilbanks, you are responsible for the content, accuracy, and legality of the Website and for laws and regulations applicable to your business and advertising. You are also responsible for determining whether your business needs specific privacy, terms-of-use, cookie, accessibility, licensing, advertising, or other legal disclosures.
Wilbanks will use commercially reasonable efforts to follow generally accepted accessibility practices where practicable, but does not warrant compliance with any specific accessibility law, regulation, or certification standard. Formal accessibility auditing and remediation are outside Model B unless separately agreed in writing.
5. Revisions, approval, and acceptance
You will review the Website preview and either approve it or provide requested revisions through the Wilbanks review process. The Website is accepted when you expressly approve the verified preview and proceed to Model B final approval. Changes requested after that approval are outside the approved build unless Wilbanks agrees otherwise in writing.
6. Intellectual property and ownership
Wilbanks retains all rights in reusable templates, page-layout systems, component libraries, code frameworks, style systems, scripts, build tooling, processes, know-how, and other materials created before the engagement or developed for general reuse (“Developer Materials”). Developer Materials do not transfer to you.
Upon Wilbanks’ receipt of the $999 Model B fee in full in cleared funds, Wilbanks assigns to you its rights in the final client-specific page designs, graphics, and custom code created specifically for you and incorporated into the delivered Website, excluding Developer Materials and third-party components. Your ownership of Client Content is unaffected.
Third-party fonts, stock imagery, plugins, libraries, open-source components, APIs, hosting services, and other third-party materials remain subject to their own licenses and terms.
7. Production launch, temporary Wilbanks hosting, and required transfer appointment
Model B uses the same verified production-launch process as Model A before ownership delivery. After payment is verified, Wilbanks will launch the approved Website on your approved domain using Wilbanks-managed hosting and the verified domain/DNS authorization supplied during setup.
The production launch does not itself complete physical delivery of the website files or move hosting into your account. After the Website is live, you must book and complete a live transfer appointment with Wilbanks. During that appointment, Wilbanks will provide the client-specific website assets/files included in Model B and move or assist in moving the Website from Wilbanks-managed hosting to the hosting account selected for you.
Until that transfer appointment is completed, the Website may remain live on your domain while Wilbanks remains the technical host. You acknowledge that the Website files and hosting account will not yet be fully in your possession or control during this temporary period, even though the client-specific intellectual-property assignment described in Section 6 occurs upon cleared payment.
You agree to cooperate reasonably with the transfer, including being available for the scheduled appointment and creating, signing into, or authorizing any destination accounts needed for the transfer. You must never send Wilbanks account passwords or two-factor authentication codes by email or form.
8. End of engagement after transfer
Unless Wilbanks separately agrees in writing to ongoing service, Model B is a one-time engagement. After the transfer appointment is completed and the client-specific Website files and hosting control are delivered, Wilbanks has no ongoing obligation to provide hosting, maintenance, software updates, backups, security monitoring, uptime monitoring, content changes, technical support, or account administration.
You are responsible after transfer for hosting, domain renewal, backups, credentials, security, future software or service changes, third-party charges, and any modifications made by you or another provider.
9. Third-party services
The Website may depend on services Wilbanks does not control, including hosting providers, domain registrars, DNS providers, form or email services, analytics, maps, scheduling tools, payment processors, and search engines. Wilbanks does not guarantee their availability, pricing, policies, security, or continued operation and is not responsible for failures caused by a third-party provider.
10. No guarantee of results
Wilbanks does not guarantee search ranking, indexing, traffic, leads, inquiries, calls, conversions, customers, sales, revenue, return on investment, uptime, or any other business result. Search engines and other third-party platforms control their own systems and may change them without notice.
11. Warranty disclaimer
To the maximum extent permitted by applicable law, the Website and services are provided “as is” and “as available.” Wilbanks disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by applicable law, Wilbanks will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost customers, lost opportunity, loss of goodwill, business interruption, substitute-service costs, or loss or corruption of data arising from Model B, the Website, downtime, transfer, migration, or post-transfer operation.
To the maximum extent permitted by applicable law, Wilbanks’ total aggregate liability arising out of or relating to Model B or these Terms will not exceed the amount you actually paid Wilbanks for Model B. Nothing in these Terms limits liability that cannot lawfully be limited.
13. Indemnification
You will defend, indemnify, and hold harmless Wilbanks and its members, managers, employees, contractors, and agents from third-party claims, liabilities, damages, penalties, judgments, settlements, and reasonable legal costs arising from your Client Content; your breach of these Terms; your business, products, services, advertising claims, licensing status, or conduct; claims concerning your business’s legal or accessibility obligations; modifications made after transfer; or your violation of applicable law.
14. Termination
Before payment in full, either party may terminate the engagement by written notice, subject to amounts properly due for work already performed and any non-refundable amounts previously agreed. If the engagement ends before payment in full, you receive no license to use unpublished drafts, mockups, designs, or code owned by Wilbanks.
Sections concerning Client Content, intellectual property, post-transfer responsibility, third-party services, disclaimers, limitation of liability, indemnification, disputes, and general terms survive completion or termination as applicable.
15. Disputes and governing law
Before commencing a proceeding, the parties will attempt in good faith to resolve a dispute through direct discussion for at least thirty (30) days after written notice describing the dispute. These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. To the extent permitted by law, each party waives trial by jury and may bring claims only in its individual capacity rather than as part of a class or representative proceeding.
16. General terms and electronic acceptance
These Terms, together with the approved website preview and the Model B service description presented during checkout, constitute the agreement regarding Model B and supersede prior proposals, demonstrations, emails, conversations, and understandings concerning the same subject matter. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will remain effective. Failure to enforce a provision is not a waiver.
Wilbanks is an independent contractor. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations. There are no third-party beneficiaries to these Terms.
Electronic acceptance. You consent to conduct this transaction electronically. Checking both the Model B Terms & Conditions acceptance box and the required transfer-appointment acknowledgment, then continuing to Stripe Checkout, is your electronic acceptance of these Terms. Wilbanks records the Terms version, a server-generated acceptance time, the project identity, and the transfer acknowledgment associated with that acceptance.
