Model A Terms & Conditions
These Model A Terms & Conditions (the “Terms”) govern the managed website subscription provided by Wilbanks Web Design (“Wilbanks,” “Provider,” “we,” “us,” or “our”) to the person or business accepting these Terms (“Client,” “you,” or “your”). By checking the Model A acceptance box and continuing to Stripe Checkout, you electronically accept these Terms and enter into a binding agreement with Wilbanks.
1. Subscription service
Model A is a managed website subscription, not an upfront purchase of the website. Wilbanks builds, hosts, and maintains the website and licenses it to you while your subscription is active and current. Wilbanks determines the templates, frameworks, tooling, hosting, and technical methods used to provide the service and may update or migrate them as needed while continuing to provide the contracted service.
2. Price, recurring billing, and authorization
Model A has a $0 setup fee and costs $99 per month. Your subscription is month-to-month and automatically renews each month until cancellation takes effect. By accepting these Terms and submitting payment details through Stripe, you authorize Wilbanks and Stripe to charge the payment method you provide $99 each month on the recurring billing date while the subscription remains active. You represent that you are authorized to use the payment method and agree to keep it current.
Fees already charged are non-refundable and are not prorated for a partial billing period, except where a refund is required by applicable law.
3. Cancellation policy
You may cancel Model A at any time by emailing jack@wilbankswebdesign.com and stating that you want to cancel. No phone call or retention conversation is required.
To avoid being charged for the next monthly billing period, Wilbanks must receive your cancellation email at least three (3) calendar days before your next scheduled billing date. If Wilbanks receives your cancellation email fewer than three (3) calendar days before the next scheduled billing date, the next monthly payment will be charged and your cancellation will take effect at the end of that newly paid billing period.
You may continue using the website through the end of your final paid billing period. At the end of that period, your Model A subscription and license to use the website end and the website will be taken offline unless you have completed the applicable buyout before then. Wilbanks will confirm a cancellation request in writing and identify the effective end date of service.
4. What the monthly service includes
While Model A is active and current, the managed service includes hosting and SSL, routine backups, software/dependency/security updates applied by Wilbanks, uptime monitoring, and unlimited Content Change requests to existing material on existing pages. Content Changes include items such as text edits, hours, phone numbers, email addresses, photo swaps, price updates, staff changes, and service-list updates.
The target turnaround for a complete Content Change request is two (2) business days. A request is complete when Wilbanks has the copy, images, and instructions needed to make the change without further inquiry. Response and turnaround targets are service goals rather than guaranteed resolution times.
Emergency support is available from 7:00 a.m. to 7:00 p.m. United States Central Time, seven days per week, including weekends and public holidays, for a website that is offline, unreachable, or materially non-functional. Emergency support is not 24/7 support. General non-emergency support is available by email, with a target first response of two (2) business days.
5. Out-of-scope work and third-party services
Unless Wilbanks agrees otherwise in writing, Model A does not include new pages after launch, a redesign or new visual direction, copywriting, professional photography, logo or brand-identity work, custom scheduling software, e-commerce, customer accounts, collection of sensitive personal data, SEO campaigns, paid advertising, social-media management, accessibility auditing or certification, email hosting, CRM/dispatch/invoicing integrations, migration of an existing website or its data, or multilingual versions.
Third-party services such as hosting platforms, registrars, content delivery networks, form/email services, analytics, maps, scheduling tools, payment processors, and search engines are controlled by their respective providers. Wilbanks does not guarantee their availability, uptime, pricing, policies, security, or continued operation and is not responsible for failures caused by a third-party provider.
6. Client content and legal compliance
You retain ownership of the text, images, logos, trademarks, photographs, testimonials, pricing, service descriptions, and other materials you supply (“Client Content”). You grant Wilbanks a non-exclusive license to host, display, reproduce, and adapt Client Content as reasonably necessary to provide Model A.
You represent that you own or have permission to use all Client Content and that it does not violate another person’s intellectual-property, privacy, publicity, or other rights. You are responsible for the accuracy and legality of your business claims, prices, credentials, licenses, certifications, testimonials, privacy disclosures, advertising, and other Client Content, and for compliance with laws that apply to your business.
Wilbanks may refuse, remove, or disable content that it reasonably believes is unlawful, infringing, deceptive, prohibited by a service provider, or likely to expose Wilbanks to a claim.
7. Website ownership and license
Unless and until the buyout described below is completed, Wilbanks retains ownership of the website design, layout, code, templates, components, and related provider-created intellectual property. While your Model A subscription is active and current, Wilbanks grants you a limited, non-exclusive, non-transferable license to use the website for your own business.
You may not copy, scrape, decompile, reverse engineer, sublicense, resell, redistribute, transfer to another host, or use the website to create a competing or derivative website except as expressly permitted through a completed buyout. Wilbanks retains its templates, component libraries, frameworks, tooling, and know-how and may reuse them for other clients.
8. Domain name and DNS
You own your domain name. If you provide an existing domain, you remain responsible for its registration and renewal. You authorize Wilbanks to make the technical DNS changes reasonably necessary to operate the website. Wilbanks will not use the domain as a collection remedy and will not sell or transfer your domain to itself.
9. Failed payment, suspension, and termination
If a recurring payment fails, Wilbanks or Stripe may retry the charge and Wilbanks may notify you. If the account remains unpaid, Wilbanks may suspend the website after notice until the account is brought current. Continued non-payment may result in termination of the subscription. Suspension or termination does not transfer ownership of the website to you.
When Model A ends without a completed buyout, your license ends and Wilbanks may take the website offline. You do not receive Wilbanks-owned website files, design, code, templates, tooling, or components merely because the subscription ended. Your ownership of your domain and Client Content is unaffected.
10. Optional $999 buyout
While you are current on all payments, you may purchase the client-specific website for a one-time $999 buyout. After Wilbanks receives the buyout price and any outstanding subscription fees, Wilbanks will transfer the final client-specific page designs, graphics, and client-specific code as delivered at the time of buyout.
Wilbanks’ reusable templates, component libraries, frameworks, tooling, and know-how do not transfer. Third-party fonts, images, plugins, libraries, and services remain subject to their own licenses and terms. Unless a separate hosting or maintenance agreement is made, Model A hosting, maintenance, updates, backups, monitoring, and support end when the bought-out website is migrated away from Wilbanks’ managed service.
11. No guarantee of business results
Wilbanks does not guarantee search ranking, indexing, traffic, leads, inquiries, calls, conversions, customers, sales, revenue, return on investment, uptime, or any other business result. Search engines and other third-party platforms control their own systems and may change them without notice.
12. Warranty disclaimer
To the maximum extent permitted by applicable law, the website and services are provided “as is” and “as available.” Wilbanks disclaims warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
13. Limitation of liability
To the maximum extent permitted by applicable law, Wilbanks will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost customers, lost opportunity, loss of goodwill, business interruption, substitute-service costs, or loss or corruption of data arising from Model A, the website, downtime, suspension, or termination.
To the maximum extent permitted by applicable law, Wilbanks’ total aggregate liability arising out of or relating to Model A or these Terms will not exceed the subscription fees actually paid by you to Wilbanks during the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited.
14. Indemnification
You will defend, indemnify, and hold harmless Wilbanks and its members, managers, employees, contractors, and agents from third-party claims, liabilities, damages, penalties, judgments, settlements, and reasonable legal costs arising from your Client Content; your breach of these Terms; your business, products, services, advertising claims, licensing status, or conduct; claims concerning your business’s legal or accessibility obligations; transactions or communications originating through the website; or your violation of applicable law.
15. Disputes and governing law
Before commencing a proceeding, the parties will attempt in good faith to resolve a dispute through direct discussion for at least thirty (30) days after written notice describing the dispute. These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. To the extent permitted by law, each party waives trial by jury and may bring claims only in its individual capacity rather than as part of a class or representative proceeding.
16. General terms and electronic acceptance
These Terms, together with the approved website preview and the Model A service description presented during checkout, constitute the agreement regarding the Model A subscription and supersede prior proposals, demonstrations, emails, conversations, and understandings concerning the same subject matter. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will remain effective. Failure to enforce a provision is not a waiver.
Wilbanks is an independent contractor. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations. There are no third-party beneficiaries to these Terms.
Electronic acceptance. You consent to conduct this transaction electronically. Checking the Model A Terms & Conditions acceptance box and continuing to Stripe Checkout is your electronic acceptance of these Terms. Wilbanks records the Terms version, a server-generated acceptance time, and the project identity associated with that acceptance.
